CONSTITUTION

ARTICLE I
Name:SOCIETY OF PAKISTANI OPHTHALMOLOGISTS INTERNATIONAL
ARTICLE II
Aims and Objectives:

It is a not-for-profit, non-political, educational, and charitable organization.

The aims and objectives of the Society are:

  • To improve the knowledge of Ophthalmology amongst its members.
  • To affilliate with other Societies with similar objectives in the United States of America and Pakistan.
  • To provide opportunity for Ophthalmic research, teaching, and better eye care in Pakistan through funds and services of members of this Association.

ARTICLE III
Membership:

All Pakistani Ophthalmologists and researchers in the Ophthalmic field subscribing to the objectives of the Association are eligible for membership.

  • Active members: All active members will be eligible to vote and hold office.
  • Inactive members: All retired Pakistani Ophthalmologists may become inactive members. They cannot vote or hold office.
  • Associate members: Ophthalmologists of non-Pakistani origin subscribing to the objectives of the Association may become associated members. They will not vote or hold office.

ARTICLE IV
Officers:

Officers of the Association shall be:

President, President-Elect, Vice-President, Secretary, and Treasurer.

ARTICLE V
Council:

The Council will be the governing body of the Association and will consist of the President, President-Elect, Vice-President, Secretary, and Treasurer and the two most recent past Presidents. The Council will control the management of the affairs and funds of the Association, fix the date and place of the annual meeting, and create and authorize the appointment of standing committees. The Council will also be responsible for keeping an up-to-date directory of all the members. It will propose the next year's budget at the annual meeting.

ARTICLE VI
Elections:

  • The nominating committee shall seek nominations from the general membership at least three months before the annual meeting.
  • The nominations for the office should be received by the nominating committee at least 30 days before the election date.
  • After considering the nominations so received, the committee shall submit a slate of candidates for various offices of the Association.
  • Election of officers will be held by secret ballot at the annual meeting with a simple plurality required for election.
  • No candidate shall be elected for more than two consecutive terms.
  • However, general membership may, buy an affirmative vote of two-third of those voting, waive this restriction.
  • The term of the office shall be one year and will be on calendar basis.

ARTICLE VII
Amendments:

This constitution may be amended by a two-third vote of the active members at any annual meeting of the Association. However, the member must be informed of the proposed amendment at least 30 days prior to the meeting and voting.

ARTICLE VIII
Dissolution:

Upon the dissolution of the Association, the Council will, after paying or making provision of the payment of all of the liabilities of the Association, dispose of all of the assets of the Association exclusively for the purposes of the Association in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, or scientific purposes as shall at the time qualify as an exempt organization of organizations under section 501(c)(3) of the Internal Revenue Code of 1954.

BY-LAWS

ARTICLE I
Annual Meeting:

The annual meeting will convene during the American Academy of Ophthalmology annual meeting.

International Meetings:

The members may decide from time to time to hold meetings of the Society in Pakistan of other countries.

ARTICLE II
Duties of Officers:
PRESIDENT ELECT:

Shall attend the meetings of the Council.

PRESIDENT:

The President will preside at all the meetings of the Association and shall be the Chairman of the Council. He will be assisted by the Council to form various committees and to appoint the liaison or intermediary with other societies. The President will be authorized to spend up to $500 on a contingency basis.

VICE-PRESIDENT:

The Vice-President, in the absence of the President, shall perform the duties of the President.

SECRETARY:

The Secretary will keep the records of the Association meetings and an up-to-date list of the members and publications of the Association.

TREASURER:

The Treasurer will conduct the business affairs of the Association, collect dues, draw, sign, and send all vouchers for payment of indebtedness. He, with the approval of the Council shall arrange with a bank or trust company for the safe custody of all monies and instruments belonging the Association. An audit committee shall review the records periodically and an annual budget report shall be reported at the annual meeting.

ARTICLE III
Dues:

The dues for active members shall be $50.00 per year. Inactive members will not be required to pay dues. However, they may donate to the medical, education, and research fund.

ARTICLE IV
Committees:

The following committees shall be appointed by the Council. The members of each committee shall be determined by the Council.

  • Library Committee.
  • Research and Education Committee.
  • Supplies & Equipment Committee.
  • Nominating & Election Committees.
  • Audit Committee.
  • Fund Raising Committee.
  • Other Committees as deemed necessary.

ARTICLE V
Amendments:

By-laws may be amended by a two-thirds majority of the members exercising the voting rights. Any proposed amendment should be circulated 30 days in advance of the meeting.
